新增《2025年苏宁国际服务协议》的公告

各位亲爱的商家：

为提升消费者在苏宁易购的购物体验，规范商家的经营行为，保障消费者的合法权益，苏宁易购拟新增《2025年苏宁国际服务协议》。

该规则新增于2024年12月19日公示。

正文如下：

甲方：深圳市云网万店电子商务有限公司（下称“苏宁易购”）

Party A: Shenzhen Clond Store E-Commerce Co.,Ltd (hereinafter referred to as “Suning E-Commerce”)

本协议由同意并承诺遵守本协议规定使用苏宁国际服务的商家与苏宁易购共同缔结，对双方均有法律约束力。

The Agreement is jointly concluded between the Merchant who agrees and undertakes to abide by the Agreement and enjoy the Suning International Service of Suning and Suning E-Commerce. The Agreement is legally binding upon both parties.

一、协议内容及生效

Ⅰ. The content and effect of the Agreement

（一）本协议内容包括协议正文、附属文件，以及苏宁易购在苏宁易购网站上（含苏宁国际）已经发布或将来可能发布的各类网站使用规则（以下简称“苏宁国际规则”）；所有苏宁国际规则为本协议不可分割的一部分，与本协议正文具有同等法律效力。

(Ⅰ) The Agreement includes the body of the Agreement, the appendixes of the Agreement, and all website service regulations (hereinafter referred to as “Suning International Rules”) that Suning E-Commerce has released or may release in the future on its website (including Suning International). All Suning International Rules shall constitute an integral part of the Agreement and have the same legal effect as the body of the Agreement.

（二）商家在使用苏宁国际服务（以下简称“苏宁国际服务”）的同时，承诺接受并遵守本协议及苏宁国际规则。苏宁易购有权根据业务发展需要不时地修订本协议及苏宁国际规则，或制定新的苏宁国际规则、附属文件；该等修订和新制定内容，苏宁易购将通过商家后台公示等方式通知商家，并在通知之日起满七日生效，成为本协议的一部分。如商家不同意本协议、相关修订或新制定内容，必须立即停止使用苏宁国际服务，并以书面方式通知苏宁易购终止本协议。商家登录苏宁国际或继续使用苏宁国际服务，即表示商家接受本协议及其修订、新增的内容。除另行明确声明外，任何使苏宁国际服务范围扩大或功能增强的新内容均受本协议约束。

(Ⅱ) While using the Suning International Service of Suning (hereinafter referred to as “Suning International Service”), the Merchant undertakes to accept and observe the Agreement and Suning International Rules. Suning E-Commerce shall have the right to modify the Agreement and Suning International Rules at any time according to its business development, or formulate new Suning International Rules and Appendixes. Suning E-Commerce will notify the Merchant of the modification and the new formulation through publication at the background of the Merchant, which shall take effect and become an integral part of the Agreement seven (7) days after the notification. If the Merchant disapproves the Agreement, the relevant modification or new formulation, the Merchant must immediately stop using Suning International Service, and terminate the Agreement by notifying Suning E-Commerce in writing. If the Merchant logs onto Suning International or continues to enjoy Suning International Service, the Merchant shall be regarded as having accepted the Agreement and its modification and addition. Unless otherwise declared explicitly, any new content which expands the scope or enhances the function of Suning International Service shall be bound by the Agreement.

（三）商家签署或在线接受本协议并不导致本协议立即生效；商家提交入驻申请资料后，经苏宁易购审核通过并向商家发出苏宁国际商家店铺后台功能开通通知时，本协议即在商家和苏宁易购之间产生法律效力。

(Ⅲ) The Agreement doesn’t take effect immediately upon the signature or online acceptance of the Agreement by the Merchant. After the Merchant submits application for settlement and Suning E-Commerce approves the application and notifies the Merchant of the start-up of the background function of the Merchant’s Suning International Store, the Agreement shall immediately become legally effective between the Merchant and Suning E-commerce.

二、定义

Ⅱ. Definition

下列词语，如无另行说明，具有如下含义：

The following terms shall have the following meanings unless otherwise specified:

1、苏宁易购网站：指由苏宁易购提供技术支持和服务的电子商务网站，网站首页域名为www.suning.com（或苏宁易购根据业务需要不时修改的域名），苏宁易购网站是为网站用户提供信息浏览、查询、发布、交流、达成交易意向等交易的平台。

The website of Suning E-Commerce: the electronic commerce website for Suning E-Commerce to offer technical support and service. The domain name of the website homepage is www.suning.com(or any other domain name selected by Suning E-Commerce from time to time according to its business requirements). The website of Suning E-Commerce is a platform for website users to conduct such transactions as information browsing, inquiry, release, exchange and reaching an intent of transaction.

2、苏宁国际：指苏宁易购提供技术支持与服务的，专门销售中华人民共和国大陆以外（包括台湾、香港、澳门地区）商品或服务的，跨境交易以及结算平台。

Suning International: the platform of cross-border transactions and settlements, on which Suning E-Commerce offers technical support and service for exclusively selling commodities or services outside the territory of mainland of the People’s Republic of China (excluding Taiwan, Hong Kong and Macao).

3、商家：又称为“苏宁国际商家”，是指符合苏宁易购不时发布的苏宁国际招商标准，并按照苏宁国际规定的程序和要求，申请注册并入驻苏宁国际的经营实体。

Merchant (also referred to as “Suning International Merchant”): the business entity which meets the Merchant Standards of Suning International that Suning E-Commerce releases from timeto time, and which applies for registration and settlementat Suning International according to the procedures and requirements of Suning International.

4、注册：是指商家登录苏宁国际平台，申请注册成为苏宁国际商家并按苏宁易购要求填写相关信息，在线阅读并确认接受或书面签署本协议，以获取并激活苏宁易购分配给其使用的苏宁国际账户的过程。

Registration: the process for the Merchant to log onto the platform of Suning International, apply for becoming a Suning International Merchant through registration, fill in relevant information sheets according to the requirements of Suning E-Commerce, and read and confirm acceptance of the Agreement online or sign the Agreement in writing, so as to acquire and activate the account of Suning International allocated by Suning E-commerce to it for use.

5、苏宁国际服务：是指由苏宁易购通过苏宁国际向商家提供的互联网信息发布、商业推广、商品交易及与此有关的互联网技术服务。

Suning International Servicesuch service as Internet information release, commercial promotion, commodity transaction and related Internet Technology service that Suning E-commerce offers to the Merchant via Suning International.

6、苏宁国际账户：又称为“商家账户”，是指苏宁易购为完成注册的商家分配的使用权限账户，商家须将用户名（通常为一组字符）和账户密码匹配使用后方可登录进入商家后台系统界面，使用相关苏宁国际服务；苏宁国际账户密码由商家自行设定和更改，商家应妥善保管其苏宁国际用户名及密码信息，商家不得以任何形式擅自转让、转借或授权他人使用自己的苏宁国际账户。

Suning International Account (also referred to as “Merchant Account”): the account of right-to-use that Suning E-commerce allocates to the Merchant which has completed registration . The Merchant can log onto the background system interface of the Merchant only by matching and using its user name (usually a group of characters) and account password, thus enjoying the relevant Suning International Service. The password of Suning International Account shall be set and altered by the Merchant voluntarily. The Merchant shall take good care of its user name and password information of Suning International, and shall not, in any form, arbitrarily transfer, lend or authorize any other person to use its own Suning International Account.

7、商家店铺：又称为“店铺”，是指苏宁易购分配给商家的独立网络虚拟销售环境，商家在其店铺内有独立经营管理权利，商家通过商家账户登陆店铺后台对店铺实施管理，自主维护店铺内商品信息和店铺外观，自主进行交易。

Merchant Store (also referred to as “Store”): an independent online virtual sales environment that Suning E-Commerce allocates to the Merchant. The Merchant enjoys an independent right of operation and management in its own store, and can log onto the store background via Merchant Account to managethe Store, and voluntarily maintain the commodity information and store appearance and conduct transactions in its own store.

8、易付宝服务：是指由南京苏宁易付宝支付科技有限公司（下称“易付宝公司”）向易付宝用户提供的“易付宝”软件系统及通过该软件系统为用户提供的代管、代收、代付款项等中介服务（下称“易付宝服务”）。

Yifubao Service: The “Yifubao” software system that Nanjing Suning Yifubao PaymentTechnology Co., Ltd. (hereinafter referred to as “Yifubao Company”) provides to Yifubao users and such intermediary service as escrow, collection and payment (hereinafter referred to as “Yifubao Service”) that Yifubao Company offers to the users via the software system.

9、易付宝账户：指在用户意图使用易付宝服务，并正常完成易付宝账户注册程序后，易付宝公司提供的唯一编号，即易付宝账号，并由易付宝用户自行设置密码，以此查询或计量易付宝用户的预付或应收应付款或进行相关操作。

Yifubao Account: the sole serial number (namely: Yifubao Number) that Yifubao Company provides to the user who has made up its decision to apply for Yifubao services, and has normally completed the procedures for registering the Yifubao Account. The Yifubao user shall set the password voluntarily, with which the user can inquire about or calculate its prepayments, receivables or payables or carry out relevant operations.

10、苏宁国际服务条款：由商家和苏宁易购另行签署的与苏宁国际服务有关的各项个性化规定的契约文件；如苏宁国际服务条款内容与本协议正文内容存在冲突，以苏宁国际服务条款内容为准。

Suning International Service Terms: a contractual document separately signed between the Merchant and Suning E-Commerce, related to Suning International Service and containing various individualized provisions. If there is any conflict between any term of Suning International Service and any part of the main body of the Agreement, then the former shall prevail.

11、商品：为表述便利，本协议所称的“商品”包括商品和服务，如实物商品、虚拟商品、无形服务等。

Commodities: For the convenience of expression, the “Commodities” referred to in the Agreement include commodities and service, e.g. tangible commodities, virtual commodities, intangible service.

12、买家：是指通过或意图通过苏宁国际向商家购买商品或服务的个人消费者等客户。

The Buyer: any individual consumer or any other customer who purchases or intends to purchase any commodity or service from the Merchant via Suning International.

13、关联公司：是指与其他公司之间存在直接或间接控制关系或重大影响关系的公司。相互之间具有联系的各公司互为关联公司。

AFFLIATED COMPANY refers to a company which has direct or indirect control relationship or major influence relationship with another company or other companies. The companies in connection with each other are affiliated companies to each other.

三、合作模式概述

Ⅲ. Overview of cooperation model

1、苏宁易购根据其技术能力和资源提供苏宁国际服务。

Suning E-Commerce shall offer Suning International Service on the basis of its technical capacity and resources.

2、商家通过苏宁国际平台向买家提供商品或服务，商家应依法经营，自负盈亏，独立承担责任和风险。

The Merchant supplies commodities or services to the Buyer via the Suning International Platform. The Merchant shall deal in its business according to law, assume sole responsibility for its profits and losses, and independently bear relevant liabilities and risks.

3、为便利商家销售，提供交易辅助服务（包括但不限于仓储服务、配送服务、网络营销服务、应用软件服务等）的服务商亦可入驻苏宁国际平台，商家可根据需要自主选择与该等入驻服务商进行合作。

For the convenient sales of the Merchant, the merchants (hereinafter referred to as “service providers”) who provide auxiliary services for transactions (including but not limited to warehousing service, distribution service, online marketing service and application software service) can also settle onto the Suning International Platform. The Merchant can voluntarily choose to cooperate with these settled service providers as required.

四、商家资质及证明文件提交

Ⅳ. Merchant qualification and certificate submission

商家资质

(Ⅰ) Merchant qualification

商家保证其为根据其所在国家/地区法律登记、注册的合法经营主体，具有签订和履行本协议的权利能力及行为能力，并具有销售其在苏宁国际平台发布的商品或服务的合法资质。

The Merchant shall guarantee that it is a lawful business entity registered according to the law of its host country/ region, having the right and capacity for signing and performing the Agreement, and having the lawful qualification to sell the commodities or services it releases on the Suning International Platform.

商家应向苏宁易购提供商家资质相关证明文件（“证明文件”），以证明其在苏宁国际销售商品、提供服务属合法经营，该等证明文件包括但不限于以下资料（具体以苏宁易购的要求为准）：

The Merchant shall provide relevant qualification certificates (“Certificates”) to Suning E-Commerce, to prove that it enjoys the lawful operation right to sell commodities and offer services at Suning International. These certificates include but not limited to (subject to the requirements of Suning E-Commerce):

（1）主体资格证明：指商家为所在国家/地区合法居民企业的相关身份类证明文件（如：营业执照、公司注册证明等）；

（1）Certificate of capacity: the relevant ID certificates which prove that the Merchant is a lawful resident enterprise of its host country/ region (e.g. business license, corporate registration certificate);

（2）有效存续证明：指商家在当地合法存续的证明（如：最近的纳税证明、商业登记证等）；

（2）Effective existence certificates: the certificates which certify the local lawful existence of the Merchant (e.g. the recent tax payment certificate, commercial registration certificate);

（3）经营授权证明：包括但不限于商标授权、品牌授权、专利授权等，该等材料须提供正本或副本复印件；

（3）Operation authorization certificates: including but not limited to trademark authorization, brand authorization, and patent authorization. The originals or duplicates of these certificates shall be provided;

（4）商家应确保在中华人民共和国大陆境内设置分支机构或委托他方代为办理售后服务事宜，并提供相应的证明；

（4）The Merchant shall ensure that it has already set up its branch or has already authorized any other party in the territory of mainland of the People’s Republic of China to handle after-sales service on its behalf, and shall provide corresponding certificates;

（5）其他苏宁易购公示要求提供的资料。

（5）Other documents which shall be provided according to the publication requirements of Suning E-Commerce.

应将上述证明文件原件的扫描件上传至苏宁国际。

The original and scanned copies of above-mentioned certificates shall be uploaded to Suning International.

苏宁易购有权根据经营需要、中华人民共和国（下称“中国”）法律法规及政策变化以及消费者、行政司法机关需求等原因，要求商家提供其他证明文件，或对相关证明文件的真实性及证明目的进行鉴别，并根据鉴别结论做相应处理。商家如不能提供相关证明文件或提供的证明文件不符合苏宁易购要求的，苏宁易购有权终止审查商家使用苏宁国际服务的申请，并中止或解除本协议。

Suning E-Commerce shall have the right to demand the Merchant to provide other certificates according to its business requirements, the laws and policy change of the People’s Republic of China (hereinafter referred to as “China”) and the demands of consumers and administrative and judiciary organs, or identify the authenticity and purpose of relevant certificates, and carry out corresponding treatments according to the conclusion of identification. If the Merchant cannot provide relevant certificates or provides certificates which do not meet the requirement of Suning E-Commerce, Suning E-Commerce shall have the right to terminate the review of the application of the Merchant for enjoying Suning International Service, and shall have the right to suspend or rescind the Agreement.

（二）证明文件提交

(Ⅱ) Certificate submission

1、证明文件提交：商家欲使用苏宁国际服务，必须根据苏宁易购招商标准的要求向苏宁易购提交其在申请服务时应当提供的证明文件，并配合苏宁易购核验相关文件。

Certificate submission: While applying for Suning International Service, the Merchant must submit all necessary certificates required by the Merchant Standards of Suning E-Commerce, and assist Suning E-Commerce in verifying relevant documents.

2、如商家证明文件有更新，商家应将更新后的文件自更新日起的3日内提供给苏宁易购。如商家提供虚假、失效文件，或未及时提供更新后的文件，或苏宁易购认为商家证明文件存有其他可能影响商家订立及履行本协议的情况，苏宁易购有权解除本协议和/或注销商家苏宁国际帐户，商家应承担由此产生的法律责任，并应进一步就苏宁易购由此承担的任何直接或间接损失向苏宁易购承担赔偿责任。

If any certificate of the Merchant has been updated, the Merchant shall provide the renewed version to Suning E-Commerce within 30 days after the updating. If the Merchant provides any false or invalid document, or fails to timely provide any updated document, or Suning E-Commerce holds the opinion that any circumstance of any certificate of the Merchant may prevent the Merchant from concluding or performing the Agreement normally, then Suning E-Commerce shall have the right to rescind the Agreement and/or cancel the Suning International Account of the Merchant. The Merchant shall bear all legal liabilities thus occurred, and shall further assume compensation liability to Suning E-Commerce for any direct or indirect loss that Suning E-Commerce has incurred accordingly.

（三）文件有效性保证

(Ⅲ) The guarantee of document validity

商家保证其向苏宁易购提供的全部证明文件真实、准确、完整、合法，且不存在超过时效问题（即保证所有证明文件在整个合同履行期间都处于有效期内）；如因商家资质证明文件虚假或失效等原因而发生纠纷或被中国相关中国主管机关处罚，商家应当独立承担全部责任，如给苏宁易购（包括其合作伙伴、代理人、职员等）造成损失的，商家同意赔偿其全部损失。

The Merchant shall guarantee that all certificates provided by the Merchant to Suning E-Commerce are authentic, accurate, complete, lawful and haven’t expired (namely: guaranteeing that all certificates are within their valid period throughout the period of contract performance). If any dispute occurs or any punishment is imposed by a relevant Chinese authority because of the falsehood, invalidity, etc. of any qualification certificate of the Merchant, the Merchant shall solely assume all relevant liabilities. If Suning E-Commerce (including its business partners, agents and employees) incurs any loss accordingly, the Merchant shall compensate for the loss.

（四）商家主体资质公示

(Ⅳ) The publication of the Merchant’s certificate of capacity

商家应依法在其前台店铺界面醒目位置，公示商家主体资格证明文件信息或主体资格证明文件电子链接。商家应赔偿苏宁易购因商家未能按照本条要求进行公示而遭受的任何损失。

The Merchant shall, according to law, publicize its certificate of capacity or electronic links with its certificate of capacity at any conspicuous position of its foreground store interfaces. The Merchant shall compensate for any loss incurred by Suning E-Commerce because the Merchant fails to publish the above according to the requirement of this clause.

五、申请条件

Ⅴ. Application conditions

申请使用苏宁国际服务的商家必须同时满足以下条件：

Merchants who apply for enjoying Suning International Service must meet all of the following conditions:

（一）符合苏宁易购招商标准的具体要求；

(Ⅰ) Meet the specific requirements of the Merchant Standards of Suning E-Commerce;

（二）确认接受本协议（含其附属文件和苏宁国际规则），注册成为苏宁国际用户；

(Ⅱ) Confirm acceptance of the Agreement (including its appendixes and Suning International Rules), and become a user of Suning International through registration;

（三）确认接受《易付宝服务协议》及易付宝服务规则，并开通易付宝账户，使用易付宝服务；

(Ⅲ) Confirm acceptance of Yifubao Service Agreement and Yifubao Service Rules, and put its Yifubao Account into operation, and begin to enjoy Yifubao Service.

（四）提交本协议及苏宁易购要求的商家资质证明文件并获得苏宁易购认可。

(Ⅳ) Submit the qualification certificates of Merchant required by the Agreement and Suning E-Commerce and obtain the approval of Suning E-Commerce;

如无经营资格或违反本协议规定的经营主体，不当注册为苏宁国际商家或超越其民事权利或行为能力范围从事交易的，该经营主体与苏宁易购之间的协议自始无效；一经发现，苏宁易购有权立即注销该经营主体的苏宁国际账户，并追究其使用苏宁国际服务的一切法律责任，并赔偿苏宁易购由此遭受的一切损失。

For any business entity which does not have any operation qualification and which goes against the provisions of the Agreement, if this business entity becomes a Suning International Merchant through illegal registration or carries out any transaction beyond its civil right or disposing capacity, then the agreement reached between this business entity and Suning E-Commerce shall become invalid from the beginning. After discovery, Suning E-Commerce shall have the right to immediately cancel the Suning International Account of this business entity, and investigate all the legal liabilities of the business entity for using Suning International Service, and demand the business entity to compensate for all losses Suning E-Commerce has incurred accordingly.

六、商家的声明、保证与承诺

Ⅵ. The representations, warranties and undertakings of the Merchant

商家声明、保证并承诺如下：

The Merchant represents, warrants and undertakes as follows:

1、商家保证其符合苏宁国际招商标准规定的申请条件，且向苏宁易购提供的注册资料真实、准确、完整、合法有效，并保证苏宁易购可以通过注册资料中的联系方式与商家进行联系；商家同意，商家有义务在相关注册资料实际变更时立即更新有关注册资料。

The Merchant warrantsthat the Merchant meets the application conditions stipulated by the Merchant Standards of Suning International, and provides Suning E-Commerce with authentic, accurate, complete, lawful and valid registration documents. The Merchant also warrantsthat Suning E-Commerce can get in touch with the Merchant with the contact information in the registration documents. The Merchant agrees that the Merchant is obliged to immediately update relevant registration documents when the relevant registration documents have been actually altered.

2、商家承诺遵守本协议、《易付宝服务协议》、苏宁国际规则以及所有公示于苏宁易购网站的规则。

The Merchant undertakesto abide by the Agreement, Yifubao Service Agreement, Suning International Rules and all rules publishedon the website of Suning E-Commerce.

3、商家保证其具有合法的权利和资质缔结本协议和使用苏宁国际服务。

The Merchant warrantsthat the Merchant has the lawful right and qualification to conclude the Agreement and enjoy Suning International Service.

4、商家完成注册流程后将获得苏宁易购提供的苏宁国际账户用户名，商家自行设定苏宁国际账户密码，商家同意，商家应妥善保管苏宁国际账户用户名及密码信息，不得以任何形式擅自转让或授权他人使用自己的苏宁国际账户，并对利用该苏宁国际账户所进行的一切活动负全部责任。

After completing the registration procedures, the Merchant will obtain a user name of Suning International Account from Suning E-Commerce. The Merchant shall voluntarily set the password for the Suning International Account. The Merchant agrees that the Merchant shall take good care of the user name and password information of Suning International Account, shall not arbitrarily transfer or authorize others to use its own Suning International Account in any form, and shall assume all liabilities for all activities based on the using of the Suning International Account.

5、商家承诺，其发布于苏宁易购网站的所有信息均真实、准确、完整、合法，符合相关法律法规、本协议及苏宁国际规则的要求。

The Merchant undertakes that all information the Merchant has released on the website of Suning E-Commerce is truthful, accurate, complete and lawful, and consistent with requirements of relevant laws and regulations, the Agreement and Suning International Rules.

6、商家保证对其发布于苏宁易购网站的交易信息中所涉商品有合法的销售权，商家已取得销售该等商品所需要的各项审批、许可、认证、检测等法律文件，对其所售商品具有合法来源、享有唯一的合法所有权，且商品推广、销售和交付等行为均未侵犯任何第三方的任何合法权利。

The Merchant undertakes that the Merchant has the lawful right to sell the commodities covered by the transaction information on the website of Suning E-Commerce, the Merchant has already acquired the approval, permission, certification, testing and other legal documents required for selling these commodities. The Merchant warrants that all commodities sold by the Merchant have lawful sources, and the Merchant enjoys the sole lawful ownership to these commodities, and the commodity promotion, sales and delivery and other behaviors of the Merchant do not infringe upon any lawful right and interest of any third party.

7、商家保证销售的商品完全符合商品来源国（地区）的法律规定和相关产品标准，不会对使用者造成任何产品说明标示以外的伤害，因产品使用造成的相关后果由商家承担。商家承诺对其所出售的商品提供售后服务，且保证执行苏宁易购发布的售后服务各项规定。

The Merchant warrants that all commodities sold by the Merchant fully meet the legal provisions and relevant product standards of the origin countries (regions), and will not bring any more harm to the user than what is marked in the product instructions, and the Merchant shall assume all relevant consequences for the using of the products. The Merchant undertakes to offer after-sale service to the commodities sold by the Merchant, and warrants that the Merchant shall abide by various provisions of after-sale service released by Suning E-Commerce.

中国法律对于本协议约定的相关商品执行的法律及标准要求与本协议有冲突的，按照中国法律政策规定执行。苏宁易购有权按照中国的法律政策及产品标准对商家销售的商品进行检测，对于不符合中国跨境电子商务零售进口政策要求的产品标准的商品，苏宁易购有权选择对商家进行警示、解约或对商品进行下架处理等措施。

If there is any conflict between Chinese laws/policies and the Agreement on the relevant applicable laws and standards of commodities, the Chinese laws / policies shall prevail. Suning E-Commerce shall have the right to test the commodities sold by the Merchant according to Chinese laws and product standards. For commodities which do not conform to the product standards of Chinese cross-border electronic commerce retail import policy, Suning E-Commerce shall have the right to choose to issue warning to the Merchant, rescind the Agreement, remove the relevant commodities off shelves or take other relevant measures.

8、商家确认知晓并同意：苏宁易购在本协议中仅向商家提供销售平台，苏宁易购自身并不参与商家的任何销售与经营活动，对与商家提供的商品和服务相关的全部内容不承担任何责任。与商家所销售商品或所提供服务相关的售前服务、产品安全、产品质量和售后服务等全部事项，以及由该等事项引发的对买家或第三方的责任，全部由商家自行承担。

The Merchant confirms knowing and agreeing that: Suning E-Commerce only provides a sales platform to the Merchant in the Agreement, Suning E-Commerce will not engage in any selling or operating activity of the Merchant on its own and will not assume any liability for anything related to the commodities and services supplied by the Merchant. The Merchant shall independently assume all liabilities for all matters related to the commodities sold by or the service offered by the Merchant, including the pre-sale service, product safety, product quality and after-sale service. The Merchant shall also independently assume all the liabilities for the Buyer or third parties which are caused by these matters.

9、商家保证按照中国的法律规定缴纳相关税费，商家应向消费者开具发票等交易凭证。

The Merchant shall pay relevant taxes according to Chinese laws. If the Merchant needs to issue invoices and other transaction vouchers to the Buyer for the sold commodities according to the explicit provisions of Chinese laws, then the Merchant shall do so accordingly.

商家的交易行为应严格遵守其所在国及中国法律规定，依法缴纳税费，开具交易票据等。

In transactions, the Merchant shall strictly adhere to the laws of the host country or the place where the transaction behavior occurs, and the Merchant shall pay taxes and issue transaction bills according to the laws of this country.

10、商家自愿同意，为提升消费者体验，增加支付和结算效率，提高平台服务质量，只接受苏宁易购平台提供的支付工具，作为商家通过苏宁国际平台达成交易的支付工具。

The Merchant voluntarily agrees to only accept the payment tools provided by Suning E-commerce to conduct transactions as a merchant on Suning International Platformso as to promote consumer experience, increase payment and settlement efficiency and enhance platform service quality.

11、商家保证其在使用苏宁国际服务进行交易的过程中遵守诚实信用的原则，不在交易过程中采取不正当竞争行为，不扰乱网上交易的正常秩序，不从事与网上交易无关的行为。

The Merchant warrants that the Merchant will abide by the principle of honesty and credit while conducting transactions through Suning International Service, and will not take any illegal competitive act in the process of transactions, will not disturb the normal order of online transactions, and will not engage in any behavior unrelated to online transactions.

12、商家保证其在使用苏宁国际服务过程中所实施的所有行为均遵守相关国家的法律法规，本协议及苏宁国际规则的要求，符合社会公共政策和公共道德，如有违反该等规定和要求，商家应以自己的名义独立承担所有法律责任。

The Merchant warrants that the Merchant will abide by laws and regulations of relevant countries, the Agreement, Suning International Rules, social public policies and public morality while carrying out all behaviors through the Suning International Service. In case of any violation in this regard, the Merchant shall solely assume all legal liabilities in its own name.

13、商家同意其不对苏宁易购网站上的自身店铺以外的任何数据作商业性利用；在未经苏宁易购及其他用户事先书面同意情况下，商家不得以复制、传播或向他方披露等方式使用其他用户在苏宁易购网站上展示的任何资料。

The Merchant agrees that the Merchant will not use any data outside its own store on the website of Suning E-Commerce for any commercial purpose. Without the prior written permission of Suning E-Commerce and other users, the Merchant shall not copy, spread, disclose to any other party, or use in any other form any data or information displayed by any other user on the website of Suning E-Commerce.

14、商家承诺其拥有合法的权利和资格向苏宁易购网站上传有关商品销售信息并进行商品销售，且该等行为未对任何第三方合法权益（包括但不限于第三方知识产权、物权、肖像权等）构成侵害，如因商家行为导致苏宁易购遭受任何第三方提起的索赔、诉讼或行政调查，商家将承担全部责任，并赔偿苏宁易购或其关联公司所遭受的损失。

The Merchant undertakes that the Merchant has lawful rights and capacities to upload relevant commodity sale information and engage in commodity sales to/on the website of Suning E-Commerce, and these behaviors will not constitute any infringement upon the lawful rights and interests of any third party (including but not limited to the intellectual property right, real right and portrait right of third parties). If any behavior of the Merchant brings about any claim, lawsuit or administrative investigation instituted by any third party against Suning E-Commerce, then the Merchant shall assume all liabilities and compensate for losses incurred by Suning E-Commerce or its affiliated companies.

15、商家知晓并同意，因商家错误造成的系统自动退款、手续费等损失，由商家自行负责。

The Merchant knows and agrees that the Merchant shall solely assume liability for the automatic refunding of system, handling charges and other losses incurred by the Merchant because of its wrong operation.

16、商家同意，对商家未及时通知或更新商家注册资料和证明文件所导致的后果承担全部责任。

The Merchant agrees that the Merchant shall assume all liabilities for the consequences of the Merchant’s failure to make timely notification or update the Merchant’s registration data and certificates.

17、商家不可撤销地授权苏宁易购以任何方式（如复制、翻译、展示等形式）使用商家公示于苏宁国际平台的各类信息，或以现在已知或日后开发的任何形式、载体或技术，将上述信息纳入其它作品（以下简称“许可使用权”）；商家不可撤销地授予苏宁易购在本协议有效期内无偿的许可使用权，并且苏宁易购有权就该许可使用权进行包括但不限于市场推广行为的再授权。

The Merchant hereby irrevocably licenses Suning E-Commerce to use various types of information the Merchant publishes on the Suning International Platform in any form (e.g. copying, translation or display), or include the above information in any of its other works through any known or subsequently-developed form, carrier or technique (hereinafter referred to as “Licensed Right of Use”). The Merchant hereby irrevocably grants the Licensed Right of Use upon Suning E-Commerce to use the above information free of charge in the valid period of the Agreement, and Suning E-Commerce shall have the right to sub-license the LicenseRight including but not limited to market promotion behaviors.

18、在本协议前款约定的许可使用权授权期限届满后或本协议被提前终止或解除后，对于苏宁易购（或苏宁易购授权的第三方）在授权有效期内已经使用的商家各类信息，商家同意苏宁易购（或苏宁易购授权的第三方）无需更换、收回或处理，并无需承担任何侵权责任。

After the period of the licensing right agreed upon in the above clause expires or after the Agreement is terminated or rescinded in advance, the Merchant agrees that Suning E-Commerce (or any third party authorized by Suning E-Commerce)needn’t replace, recover or dispose of various types of information of the Merchant which have already been used in the valid period of licenseby Suning E-Commerce (or any third party authorized by Suning E-Commerce), and needn’t assume any tort liability, either.

19、商家不可撤销地授权易付宝公司在以下情形或本协议约定的其他情形下自本协议订立后依苏宁易购的指示直接对商家在易付宝账户的余额进行款项冻结和划扣：

The Merchant thereby irrevocably authorizes Yifubao Company to, under the following circumstances or any other circumstance agreed upon in the Agreement, directly freeze, transfer and deduct any of the balance of the Yifubao Account of the Merchant according to the instruction of Suning E-Commerce after the Agreement is concluded:

（1）商家短时间内发生大量投诉或对买家存在重大履约风险的；

（1）A lot of complaints occur to the Merchant within a short period, or there exists any major risk of contract performance to the Buyer on the part of the Merchant;

（2）商家涉嫌行政或刑事违法行为，可能给苏宁易购造成损失的；

（2）The Merchant is suspected of any administrative or criminal illegal act, which may bring loss to Suning E-Commerce;

（3）商家违反本合同或平台规则的规定，赔偿责任超过商家保证金额度的。

（3）The Merchant violates any provisions of the Agreement or platform rules, with its compensation liability exceeding the security deposit limit of the Merchant.

20、商家保证维护苏宁易购及其关联公司的良好声誉和企业形象，不做出任何有损于苏宁易购及其关联公司之品牌形象和声誉的任何言论及行动。商家同意，如苏宁易购发现商家有诋毁或损害苏宁易购及其关联公司声誉的言行或行为的，苏宁易购有权立即终止本协议，并将视情节追究商家法律责任。

The Merchant warrants that the Merchant will try its best to maintain the good reputation and corporate image of Suning E-Commerce and its affiliates, and will not make any statement or take any action which may impair the brand image and reputation of Suning E-Commerce and its affiliates. The Merchant agrees that Suning E-Commerce shall have the right to terminate the Agreement and investigate the Merchant’s legal liability according to the circumstance if Suning E-Commerce finds out that the Merchant has made any statement or taken any action which may impair the reputation of Suning E-Commerce and its affiliates.

21、商家同意，未经苏宁易购书面授权，商家不得为任何目的和形式使用苏宁易购及其关联公司的商标、标志、商业外观、企业名称、字号等，否则，商家应承担由此引致的全部法律责任。

The Merchant agrees that the Merchant shall not, for any purpose or in any form, use the trademark, logo, trade dress, enterprise name or trade name, etc.of Suning E-Commerce and its affiliates without the written authorization of Suning E-Commerce; otherwise the Merchant shall assume all legal liabilities thus caused.

22、商家知晓并同意：商家任何在线接受本协议的行为并不当然导致本协议发生法律效力，本协议是附条件生效协议，即必须经过苏宁易购对商家提交的全部资料审核通过且满足本协议约定的生效条件后方可生效。同时，商家认可苏宁易购有权对商家证明文件及注册资料、品牌经营权限开通申请等事项和资料，独立地进行评估、判断，有关审核结果以苏宁易购评估、判断为准，商家对此不持有任何异议。

The Merchant knows and agrees: Any online acceptance of the Agreement by the Merchant shall not necessarily result in the legal validity of the Agreement. The Agreement takes effect conditionally. That is to say, the Agreement can become legally effective only after Suning E-Commerce has reviewed and verified all data submitted by the Merchant and all the validatingconditions agreed upon in the Agreement have been met. In addition, the Merchant agrees that Suning E-Commerce has the right to independently assess and judge the relevant matters, data and documents including the certificates and the registration data of the Merchant and the application made by the Merchant for launching the brand operation authority. The relevant review results shall be subject to the assessment and judgment of Suning E-Commerce. The Merchant shall not raise any objection to this.

23、商家承诺，商家在苏宁易购网站上发布的商品信息中不使用任何未获授权品牌的关键字，并且不得发布涉嫌侵犯他人知识产权或其它合法权益的商品或服务信息，如发现（包括经权利人或第三方举报发现）商家存在该等情形，苏宁易购有权对其进行删除，或者依法采取其他必要措施予以制止。

The Merchant undertakes that the Merchant shall not use any keyword of any unauthorized brand in the commodity information the Merchant releases on the website of Suning E-Commerce, and shall not release any commodity or service information which is suspected of infringing upon others’ intellectual property right or any other legitimate right or interest. If Suning E-Commerce finds out (e.g. through the reporting of any right owner or any third party) that the Merchant has violated the above provisions, Suning E-Commerce shall have the right to cancel the keyword or information, or take any other necessary measure to stop its violation according to law.

24、商家承诺，接受苏宁易购对商家出售商品是否具有合法进货来源进行不定期检查，商家有义务保留其商品具有合法进货来源的相关凭证。对于商家无法提供合法进货来源凭证的商品，商家对此承担举证不利的后果；苏宁易购有权对商品来源合法性问题，独立做出评估和判断，并根据本协议以及苏宁国际规则进行处理。

The Merchant undertakes to accept Suning E-Commerce’s any irregular examination to the lawfulness of the purchase sources of the commodities sold by the Merchant, and the Merchant is obliged to reserve all relevant certificates which can prove the lawfulness of the purchase sources of its commodities. The Merchant shall bear the consequences of failing to provefor the commodities for which the Merchant cannot provide certificates of lawful purchase sources, and Suning E-Commerce shall have the right to independently carry out assessment and judgment over the lawfulness of commodity sources, and take any measures according to the Agreement and Suning International Rules.

25、商家承诺，接受苏宁易购基于商品品质控制需求对商家在售商品按照中国法律及标准进行质量抽检，检测报告由第三方质检机构出具；商家承诺，对苏宁易购选择的第三方质检机构作出的检测结果不持有异议，对于经检测证明存在质量瑕疵或缺陷的商品，因检测产生的购样费用、检测费、物流费用、税费由商家承担。

The Merchant undertakes to accept the random quality inspection carried out by Suning E-Commerce to commodities sold by the Merchant on the basis of the quality control requirement of commodities and according to Chinese laws and standards. The inspection reports shall be issued by a third-party quality inspection organization. The Merchant undertakes not to raise any objection to the inspection result provided by the third-party quality inspection organization selected by Suning E-Commerce. For commodities which prove to have quality defects or flaws by the inspection result, the Merchant shall pay the sample purchase fee, inspection fee, logistic fee and taxes arising from the inspection.

26、商家同意，如商家因任何原因（可能）给苏宁易购或其关联公司或消费者造成任何损失的，苏宁易购有权指示江苏苏宁物流有限公司或其关联公司（下称“苏宁物流”）扣留在苏宁物流合法占有或掌控下的商家货物。

The Merchant agrees that Suning E-Commerce shall have the right to instruct Jiangsu Suning Logistics Co., Ltd. or its affiliates (hereinafter referred to as “Suning Logistics”) to detain the Merchant’s goods under the lawful possession or control of Suning Logistics if the Merchant has brought any loss to Suning E-Commerce or its affiliates or consumer for any reason (due to any possibility).

27、对于消费者个人信息的收集和调取，商家同意：

（1）苏宁易购将为其开启权限，使其有权通过苏宁易购后台系统收集或调取消费者的个人信息，商家使用上述系统提供的消费者个人信息的用途仅限于为其所销售商品办理清关事宜，商家承诺对系统及消费者个人信息的使用应符合法律、法规、政策、苏宁国际规则，并应履行信息保护义务；

（2）如商家需自行收集消费者信息，应履行相应的信息保护义务，包括但不限于应在信息收集之前告知消费者信息收集目的并取得消费者明确同意、就消费者信息采取适当的保密措施等。

因商家违反本条义务而导致的任何法律责任，均应由商家自行承担。商家违反本条义务导致大量消费者投诉或者苏宁易购遭受消费者诉讼或行政处罚的，苏宁易购有权终止本协议，并全额没收商家保证金，保证金不足以弥补苏宁易购损失的，苏宁易购有权进一步向商家追偿。

The Merchant agrees that the Merchant shall fulfill corresponding obligations of information protection if the Merchant needs to collect any consumer information, including but not limited to: notifying the consumer of its purpose of information collection and obtains the explicit permission of the consumer before collecting the information, and taking appropriate confidentiality measures against consumer information. The Merchant shall solely assume any corresponding legal liability in case of violation of the obligation under this clause. Where the Merchant violates its obligation under this Article and thus causes numerous consumer complaints, or any consumer litigation or administrative punishment against Suning E-commerce, Suning E-commerce may terminate this Agreement and confiscate the Merchant’s security deposit in entirety. Where the security deposit is insufficient torecover the losses suffered by Suning E-commerce, Suning E-commerce is entitled to seek further recovery against the Merchant.

28、商家同意，如果中国政府或相关机构要求、或者按照相关法律法规规定，从事其在苏宁国际的经营业务，需要取得相应的政府审批、批准、或备案等，那么该商家应及时取得该等审批、批准、或备案等。否则，苏宁易购有权立即停止该商家在平台上的经营。

The Merchant agrees that if the Merchant needs to acquire corresponding government approval, ratification or registration for engaging in its operations at Suning International according to the requirement of Chinese government or relevant organizations or according to the provisions of relevant laws and regulations, then the Merchant shall timely acquire the approval, ratification or registration. Otherwise, Suning E-Commerce shall have the right to immediately stop the Merchant’s operations on the platform.

29、商家同意，所有商品均应通过符合资质的物流公司依法定程序经中国海关入关并依法缴纳跨境电商综合税、行邮税或其他依法应缴纳的税费。

The Merchant agrees that all commodities shall go into the People’s Republic of China through Chinese customs according to statutory procedures through a qualified logistics company, and the Merchant shall pay cross-border e-commerce general tax, personal postal articles tax or any other taxeswhich shall be paid according to law.

七、消费者保障

Ⅶ. Consumer protection

消费者保障，是指商家使用苏宁国际服务销售商品和服务，应根据法律规定、本协议及苏宁国际规则的规定，履行“商品如实描述”“正品保障”“海外直供”等法定和约定义务。苏宁易购将在苏宁易购网站不时公示新增的商家对消费者保障义务，或对原有的商家对消费者保障义务内容进行修订。如商家对新增或修订的商家对消费者保障义务持有异议，商家应当停止使用苏宁国际服务，如继续使用苏宁国际服务，则意味着接受苏宁易购的新增或修订内容。

Consumer protection means that the Merchant shall fulfill such statutory and agreed obligations as “truthful description of commodities”, “genuine commodity guarantee” and “Supplied Directly from Overseas” according to laws, the Agreement and Suning International Rules while selling commodities and services through Suning International Service. Suning E-Commerce shall publish the newly-added protection obligations of the Merchant to the consumer or revise the original protection obligations of the Merchant to the consumer on the website of Suning E-Commerce at any time. If the Merchant objects to the newly-added or revised protection obligations of the Merchant to the consumer, the Merchant shall stop using Suning International Service. If the Merchant continues to use Suning International Service, the Merchant shall be regarded as having accepted the new addition or revision of Suning E-Commerce.

消费者保障内容
(Ⅰ) The content of consumer protection

商家承诺，在通过苏宁易购网站发布商品信息以及与买家进行商品交易过程中遵守以下约定：

The Merchant undertakes that the Merchant will abide by the following agreements while releasing commodity information via the website of Suning E-Commerce and conducting commodity transactions with the Buyer:

1、“商品如实描述”义务：商家应对发布于苏宁易购网站的商品信息依法、如实描述，不得作违法、夸大和虚假的描述，他人（包括但不限于买家、行政机关）对商家发布的信息提出质疑的，商家有义务证明发布信息的合法性、真实性、准确性，商家无法证明的，需承担相应的不利后果。

The obligation of “truthful description of commodities”: The Merchant shall lawfully and truthfully describe the commodity information released on the website of Suning E-Commerce, and shall not make any illegal, exaggerative and false description. If any other person (including but not limited to the Buyer or the administrative organ) raises any doubt against the information released by the Merchant, the Merchant shall be obliged to prove the lawfulness, authenticity and accuracy of the released information, and the Merchant shall bear corresponding unfavorable consequence if the Merchant cannot prove them.

商品信息包括但不限于商品的价格、参数、详情介绍、卖点、售后服务政策、配件信息等，商品信息展示形式不限于文字、图片、视频等。商家在销售过程中通过在线客服软件、电话、咨询等方式作出的任何答复也属于商品信息。

The commodity information includes but not limited to the prices, parameters, detail introduction, selling points, after-sale service policies, accessory information of commodities. The display of commodity information shall not be limited to texts, pictures and videos. Any reply made by the Merchant in the sales process via online customer service software, telephone and inquiry is also commodity information.

2、“遵守承诺”义务：商家应当严格遵守通过各种方式直接或间接向买家作出的承诺，包括但不限于通过本协议、苏宁国际规则以及网络店铺、商品详情页面、在线客服软件等方式向买家作出的承诺。

The obligation of “promise keeping”: The Merchant shall strictly keep the promises that the Merchant has directly or indirectly made to the Buyer in various forms, including but not limited to the promises made to the Buyer in such forms as the Agreement, Suning International Rules, online store, commodity detail page and online customer service software.

3、“正品保障”义务：商家保证其提供的商品均为正品，不存在任何假冒伪劣、未经报关进口、侵害他人商标、专利等权利的商品。

The obligation of “genuine commodity guarantee”: The Merchant shall guarantee that all the commodities supplied by the Merchant are genuine and salable products, instead of counterfeit or inferior goods or commodities which are not imported through the customs or which infringe upon others’ trademark, patent and other rights.

海外直供承诺Promise for Direct Overseas Supply

4、“海外直供”是指商家销售的海外商品均为优质海外采购商品，消费者下单后，商品从大陆以外的国家或地区通过国际物流方式发出或从中国保税区发出，且有物流公司提供的从商家发货地到消费者目的地之间完整物流状态信息。

4. Direct overseas supply means that overseas commodities sold bytheMerchant are all high-quality goods directly supplied from overseas. After consumers place orders, commodities are delivered from regions or countries other than Mainland China in the way of international logics or from tariff-free zones in China, and logistics firms offer the complete logistic status information from merchants’ places of dispatch to consumer destinations.

（二）消费者保障责任及处理

(Ⅱ) Consumer protection liability and treatment

1、先行赔付：指商家与买家通过易付宝服务进行交易后，如因商家未履行消费者保障承诺义务而导致买家权益受损的情况下，苏宁易购有权以普通或非专业人员的知识水平标准，根据相关证据材料和规则判定商家是否应根据法律法规、本协议、苏宁国际规则的规定履行赔付义务；如苏宁易购判定商家应承担赔付责任的，则苏宁易购有权通知易付宝公司自商家的易付宝账户直接扣除相应金额款项先行赔付给消费者，或使用商家保证金先行赔付给消费者。商家理解并确认苏宁易购是基于非专业人员的判断作出先行赔付，苏宁易购不因先行赔付行为对商家承担赔偿责任。如商家认为苏宁易购的先行赔付行为损害其合法权益，可向有管辖权的法院对消费者提起诉讼。

Advance compensation: After the Merchant and the Buyer conduct a transaction via Yifubao Service, if the Buyer’s right or interest is impaired because of the Merchant’s failure to fulfill its promised obligation of consumer protection, then Suning E-Commerce shall have the right to, on the basis of the knowledge level standards of ordinary or non-professional personnel and according to relevant evidences and rules, judge whether the Merchant shall fulfill its compensation obligation according to the relevant laws and regulations, the Agreement and Suning International Rules. If Suning E-Commerce determinesthat the Merchant shall fulfill the obligation of advance compensation, then Suning E-Commerce shall have the right to notify Yifubao Company to directly deduct a corresponding sum from the Yifubao account of the Merchant to make advance compensation to the consumer, or use the security deposit of the Merchant to make advance compensation to the consumer. The Merchant understands and acknowledgesthat Suning E-commerce makes advance compensation based on nonprofessional judgment and will not bear any compensation liability towards the Merchant for making advance compensation. Where the Merchant believes that advance compensation made by Suning E-commerce damages its legitimate rights and interests, it may institute a lawsuit against the consumer before a court with competent jurisdiction.

2、商家明确了解并同意，商家是交易合同的卖方，应当承担卖方义务，是消费者权益保障的责任主体。当发生本协议所述商家应当履行消费者保障义务情形时，商家应保证买家的合法权益。

The Merchant explicitly understands and agrees that the Merchant is the Seller of the transaction contract and shall fulfill due obligations as the Seller, and shall be the accountability entity of consumer right/interest protection. When any circumstance occurs mentioned in the Agreement under which the Merchant shall fulfill its obligation of consumer protection, the Merchant shall guarantee the lawful rights and interests of the Buyer.

3、商家同意当苏宁易购根据上述第1款（先行赔付）之规定向买家进行先行赔付时，即视为商家违规，苏宁易购有权给予商家相应处罚，包括但不限于将商家清退出苏宁国际。

The Merchant agrees that the Merchant shall be regarded as breaching the rules when Suning E-Commerce makes advance compensation to the Buyer according to the provisions of the above-mentioned Sub-clause 1 (Advance compensation), and Suning E-Commerce shall have the right to imposea corresponding punishment over the Merchant, including but not limited to expelling the Merchant out of Suning International.

（三）对于非个人买家，同等享有本协议规定的消费者权利，但商家不得向非个人买家销售跨境电商商品。

(Ⅲ) Non-individual buyers shall equally enjoy the consumer rights and interests set forth in the Agreement, provided that the Merchant shall not sell cross-border e-commerce products to any buyer other than individuals.

（四）关于处理交易纠纷的委托

(Ⅳ) Entrusted settlement of transaction disputes

买家在苏宁易购网上交易平台内购买商品或者接受服务，发生消费纠纷或者其合法权益受到损害时，买家要求平台调解的，商家应积极配合苏宁易购的调解工作，提供相关信息并及时履行调解结果。

If the Buyer demands the platform for mediation when any consumption dispute occurs or when the lawful rights/interests of the Buyer are impaired while the Buyer purchases commodities or accepts service via the Online Transaction Platform of Suning E-Commerce, then the Merchant shall actively assist Suning E-Commerce in the mediation, provide relevant information and timely carry out the mediation result.

商家了解并同意，苏宁易购及其关联公司并非司法机构，仅能以普通或非专业人员的知识水平标准对商家提交的证据材料进行鉴别，苏宁易购及其关联公司对交易纠纷的调处完全是基于商家的委托，苏宁易购及其关联公司无法保证交易纠纷处理结果符合商家的期望，也不对交易纠纷调处结果及保证金赔付决定承担任何责任。商家应保证其提交的证据材料的真实性、合法性，并承担其或买家提供的信息、数据不实的风险和责任。

The Merchant understands and agrees that Suning E-Commerce and its affiliates are not judiciary organs, and can only identify the evidences submitted by the Merchant on the basis of the knowledge level standards of ordinary or non-professional personnel. The mediation and settlement made by Suning E-Commerce and its affiliates over any transaction dispute is completely based on the Merchant’s entrusting. Suning E-Commerce and its affiliates cannot guarantee that their settlement of transaction disputes meets the Merchant’s expectation, and will not assume any liability for the mediation and settlement of any transaction dispute and the decision on the security deposit compensation. The Merchant shall ensure the authenticity and lawfulness of the evidences submitted by the Merchant, and shall bear the risk and responsibility for any false information or data provided by the Merchant or the Buyer.

买家通过其他渠道维权的，商家也应积极配合买家维护自身合法权益。

If the Buyer safeguards its rights and interests through any other channel, the Merchant shall also actively assist the Buyer in safeguarding its own lawful rights and interests.

八、苏宁易购的权利和义务

Ⅷ. The rights and obligations of Suning E-Commerce

1、苏宁易购在现有技术上努力维护整个苏宁易购网上交易平台的正常运行，并努力提升和改进技术，使商家网上交易活动得以顺利进行；苏宁易购有权自行决定或调整允许商家发布商品的苏宁易购商品类目种类和数量，商家对此不持任何异议。

Suning E-Commerce shall try to maintain the normal operation of the online transaction platform of Suning E-Commerce with its existing techniques, and shall try to promote and improve its existing techniques, so that the online transaction activities of the Merchant can go on smoothly. Suning E-Commerce shall have the right to voluntarily decide or adjust the categories, types and quantities of commodities that Suning E-Commerce allows the Merchant to release, and the Merchant shall not raise any objection to this.

2、因网上交易海量信息的特殊性，苏宁易购没有义务对所有商家的交易行为以及与交易有关的其它事项进行事先审查。

Due to the particularity of the mass information of online transactions, Suning E-Commerce is not obliged to carry out prior reviews to the transaction behavior of any Merchant and other matters related to transaction.

但如存在下列情况之一的，则苏宁易购有权以普通非专业人员的知识水平标准对相关内容进行判别：

However, under any of the following circumstances, Suning E-Commerce shall have the right to determine the relevant contents on the basis of the knowledge level standard of ordinary and non-professional personnel:

第三方通知苏宁易购，认为某个商家或交易事项可能存在重大问题；

① Any third party notifies Suning E-Commerce that there may be a serious problem with a Merchant or a transaction;

商家或第三方向苏宁易购告知苏宁国际平台上有违法或不当行为的；

② A Merchant or a third party notifies Suning E-Commerce of any illegal or improper act on the Suning International Platform;

苏宁易购发现某个商家或交易事项可能存在重大问题；

③ Suning E-Commerce finds out that there may be a serious problem with a Merchant or a transaction;

若苏宁易购认为上述内容或行为具有违法或不当性质的，苏宁易购有权根据不同情况选择删除相关信息、对商家店铺采取限制性措施或停止对该商家提供苏宁国际服务，如存在违反相关国家法律规定、侵犯他人合法权利、违反合同约定等情形的，依法追究相关法律责任。

If Suning E-Commerce holds the opinion that any above-mentioned content or behavior is illegal or improper, Suning E-Commerce shall have the right, according to different circumstances, cancel relevant information, take restrictive measures against Merchant Store or stop the Merchant from offering Suning International Service. Under such circumstances as violation of relevant national laws, infringement upon others’ lawful rights or violation of contract, Suning E-Commerce shall have the right to pursue the Merchant for relevant legal liabilities.

3、苏宁易购有权对商家的注册数据及交易行为进行查阅，发现注册数据或交易行为中存在任何问题或怀疑，均有权向商家发出询问或要求改正的通知，或者直接作出删除或对商家店铺采取限制性措施等处理。

Suning E-Commerce shall have the right to check the registration data and transaction behavior of the Merchant. If Suning E-Commerce finds out any problem with or raises any doubt against registration data or transaction behavior, Suning E-Commerce shall have the right to issue an inquiry or a notice of correction requirement to the Merchant, or directly decides to cancel the relevant data or take restrictive measures against the Merchant Store.

4、经相关国家生效法律文书或行政处罚决定确认商家存在违法行为的，或者苏宁易购认为商家存在违法或违反协议行为的，苏宁易购有权在苏宁易购网站公布商家的违法和/或违规行为。

If any relevant national effective legal document or administrative punishment decision confirms that the Merchant has committed any illegal behavior, or Suning E-Commerce holds the opinion that the Merchant has committed any illegal behavior or violates the Agreement, then Suning E-Commerce shall have the right to publishthe illegal and/or violating behavior of the Merchant on the website of Suning E-Commerce.

5、对于商家在苏宁国际发布的下列各类信息，苏宁易购有权在不通知商家的前提下进行删除或采取其它限制性措施，包括但不限于：

For the following information released by the Merchant at Suning International, Suning E-Commerce shall have the right to removeit or take any other restrictive measure against it without notifying the Merchant, including but not limited to:

（1）以规避费用为目的的信息；

（1）The information for the purpose of avoiding any fee;

（2）以炒作信用、销量为目的的信息；

（2）The information for the purpose of credit hype and sales volume hype;

（3）苏宁易购有理由相信存在欺诈等恶意或虚假内容的信息；

（3）The information which contains any fraudulent, malignant or false part in the opinion of Suning E-Commerce;

（4）苏宁易购有理由相信与网上交易无关或不是以交易为目的的信息；

（4）The information which is unrelated to online transactions or which is not for the purpose of transactions in the opinion of Suning E-Commerce;

（5）苏宁易购有理由相信存在恶意竞价或其它试图扰乱正常交易秩序因素的信息；

（5）The information which contains malignant price competition or any other factor of attempting to disturb the normal transaction order in the opinion of Suning E-Commerce;

（6）涉嫌违法被主管机关立案调查的信息；

（6）Information which is suspected of breaking law so that the administrative authority initiates an investigation;

（7）苏宁易购有理由相信属于违反公共利益或可能严重损害苏宁易购和/或其它用户合法利益的信息。

（7）The information which violates public interest or may seriously impair the lawful rights and interests of Suning E-Commerce and/ or other users in the opinion of Suning E-Commerce;

6、苏宁易购会在商家的计算机上设定或取用苏宁易购Cookies，苏宁易购允许在苏宁易购网页上发布广告的公司到商家计算机上设定或取用Cookies；苏宁易购使用Cookies可为商家提供个性化服务。如果拒绝Cookies，商家将不能使用苏宁国际服务。

Suning E-Commerce will set or callSuning E-Commerce Cookies on the computer of the Merchant. Suning E-Commerce allows those companies which release advertisements on the webpage of Suning E-Commerce to set or callCookies on the computer of the Merchant. Suning E-Commerce will use Cookies to offer customized services to the Merchant. If the Merchant rejects Cookies, the Merchant will be unable to enjoy Suning International Service.

Cookie（复数形态Cookies），指网站为了辨别用户身份而储存在用户本地终端（Client Side）上的数据（通常经过加密）。

Cookie (plural form: Cookies) refers to the data (often encrypted) that the website stores at the Client Side to distinguish the user’s identity.

8、苏宁易购有权根据业务调整情况将本协议项下的全部权利义务一并转移给其关联公司，此种情况将会提前30天以网站公告的形式通知商家。商家承诺对此不持有异议。

Suning E-Commerce shall have the right to, according to its business adjustment, transfer all its rights and obligations under the Agreement altogether to its affiliates, and shall notify the Merchant of this circumstance in the form of website notice30 days in advance. The Merchant promises not to raise any objection to this.

9、苏宁易购保留在任何时候自行决定对苏宁国际服务及其相关功能、应用软件变更、升级的权利；苏宁易购进一步保留在服务中开发新的模块、功能和软件或其它语种服务的权利。上述所有新的模块、功能、软件服务的提供，除非苏宁易购另有说明，否则仍适用本协议。苏宁国际服务随时可能因苏宁易购的单方判断而被增加或修改，或因定期、不定期的系统维护而暂缓提供；商家在此同意，商家或其他用户在使用苏宁国际服务时，若因信息传输或联络中的迟延、不准确、错误或疏漏等而产生损失，苏宁易购无须承担责任。

Suning E-Commerce reserves its right to alter or upgrade its Suning International Service and related functions and application software at any time at its own discretion. Suning E-Commerce further reserves its right to develop new modules, functions and software or any other language service for Suning International Service. Unless otherwise specified by Suning E-Commerce, the Agreement shall still apply to the provision of all above-mentioned new modules, functions and software service. Suning International Service may be increased or modified at the unilateral discretion of Suning E-Commerce, or suspended due to regular or irregular system maintenance. The Merchant hereby agrees that Suning E-Commerce needn’t assume any liability for any loss arising from any delay, inaccuracy, error or omission in the process of information transmission or liaison when the Merchant or any other user enjoys Suning International Service.

九、费用及结算

Ⅸ. Expenses and settlement

1、费用类型及收费方式

Expense types and terms of payment

商家同意，就其使用的服务向苏宁易购（或苏宁易购指定的关联公司）支付以下服务费用：

The Merchant agrees to pay the following service fee to Suning E-Commerce (or the affiliates designated by Suning E-Commerce) for the service the Merchant enjoys:

（1）苏宁国际交易服务费：是指商家入驻苏宁易购后，因使用苏宁易购提供的信息管理系统而需向苏宁易购支付的信息服务费用；交易服务费=实际交易额（买家实付金额+平台优惠）*交易服务费率，按日汇总结算。

(1) Suning International Transaction Service Fee: It refers to the merchants settled in Suning E-Commerce website,The information service fees due to Suning E-Commercefor the utilization of the information management system provided by Suning E-Commerce;Transaction Service Fee = Actual Transaction Value (Buyer Payment Amount + Platform Concessions) * Transaction Service fee percentage , Summary Settlement by Day.

具体金额及缴纳方式按照本协议附件《苏宁国际服务条款》执行。

For the specific amount and the payment method, please refer to the appendix of the Agreement (Suning International Service Terms).

（2）交易佣金：又称“佣金”，交易佣金以商家通过苏宁国际与买家达成交易意向并实际完成的交易额为基数，以协议双方约定的交易佣金费率进行计算，并由苏宁易购通过技术系统自动向易付宝公司发出扣款指令进行实时划扣；具体收费标准见附件《苏宁国际服务条款》。交易额以易付宝软件系统记录的商家订单金额为准。如发生退货情况且证实属实，苏宁易购将向商家退还此退货交易原订单的交易佣金，但仅限于因退货发生的苏宁易购线上退款且线上退款已完成。商家就退货进行线下退款的，无论商家提供何种证据证明退货相关的退款确实发生,苏宁易购均不支持退还退货部分的交易佣金。

(2) Transaction commission (also called “Commission”): The calculation of the transaction commission shall be based on the amount of transaction which has been actually completed between the Merchant and the Buyer via Suning International after an intent of transactions has been reached, and the rate of transaction commission agreed upon between both parties to the Agreement. Transaction commission shall be transferred and deducted immediately by Yifubao Company after receiving the deduction instruction issued automatically by Suning E-Commerce via its technological system. For the specific charging standard, please refer to the appendix (Suning International Service Terms). The transaction amount shall be the amount of Merchant Order recorded by the software system of Yifubao. If any return of goods occurs and is verified, Suning E-Commerce will refund the transaction commission for the original order of the transaction which involves the return of goods, which is, however, subject to the already-completed online refunding of Suning E-Commerce due to return of goods. If the Merchant chooses off-line refunding for the return of goods, no matter which certificate the Merchant provides to prove that the refunding related to the return of goods has indeed occurred, Suning E-Commerce will not support the refunding of the transaction commission for the returned part of goods.

（3）其他商业推广或技术服务费用：如商家使用其他有偿服务的，按约定收取相应费用。

（3）Other fees of business promotion or technical service: If the Merchant enjoys any other paid service, the corresponding fees shall be charged as agreed.

（4）其他费用支付方式见双方另行订立的其他条款。

（4）For the payment mode of other fees, please refer to other terms concluded between both parties separately.

2、交易货款结算

The settlement of transaction payments

商家易付宝可结算金额（易付宝余额扣除商家应缴的各类费用）超过四万元人民币时，由易付宝自动结算货款。

When the Yifubao balance of the Merchant (Yifubao balance minus all kinds of fees which the Merchant should pay) exceeds RMB 40,000 Yuan, Yifubao will automatically settle the payments.

3、货币与计数原则

Currency and calculation principle

如无其他特别说明，本协议所述费用款项，均以人民币计算，以元为计数单位，同时按四舍五入原则计数至小数点后两位。

Unless otherwise specified, the fees mentioned in the Agreement shall be calculated in RMB Yuan, and shall be rounded off to two digits after the decimal point according to the round-off principle.

十、苏宁国际服务的后台功能开通

Ⅹ. The launch of background function of Suning International Service

（一）苏宁国际服务的商家店铺后台功能将在以下条件均满足后7个工作日内开通：

(Ⅰ) The Merchant Store background function of Suning International Service shall be put into operation within 7 workdays after all the following conditions are met:

1、商家签署本协议（在线点击接受或书面签署）；

The Merchant signs the Agreement (in writing or by online clicking for acceptance);

2、商家在线填写信息并最终与苏宁易购通过在线点击（或书面）的方式签订《苏宁国际服务条款》；

The Merchant fills in the information sheet online and eventually signs Suning International Service Terms with Suning E-Commerceby online clicking (or in writing);

3、符合苏宁易购招商标准规定的条件，并提供相应的商家资质证明文件且获得苏宁易购认可；

The Merchant meets the conditions set forth in the Merchant Standards of Suning E-Commerce, and provides corresponding merchant qualification certificates and obtains the permission of Suning E-Commerce;

4、商家已支付本协议规定的商家保证金；

The Merchant has paid the merchant security deposit set forth in the Agreement;

5、苏宁易购审核通过并发出商家店铺后台功能开通通知。

Suning E-Commerce issues a notice on the launch of the Merchant Store background function after due verification.

（二）服务期自商家店铺后台功能实际开通日起算。

(Ⅱ) The service period shall commence from the day when the Merchant Store background function is actually put into operation.

（三）如商家签署或在线接受本协议后30个工作日内仍未满足本条第一款规定的所有开通条件，则苏宁易购有权终止审查商家使用苏宁国际服务的申请。

(Ⅲ) If the Merchant still fails to meet all the launch conditions set forth in Clause 1 of this Article within 30 days after signing the Agreement or accepting the Agreement online, then Suning E-Commerce shall have the right to stop reviewing the Merchant’s application for Suning International Service.

（四）在商家满足苏宁易购规定的商家店铺前台上线条件后，经商家申请且苏宁易购审核同意后，予以开通苏宁国际服务商家店铺前台上线功能。

(Ⅳ) After the Merchant meets the foreground on-line conditions of Merchant Store stipulated by Suning E-Commerce, and after the Merchant submits its application and Suning E-Commerce approves the application after due review, Suning E-Commerce will launch the foreground on-line function of Merchant Store of Suning International Service.

十一、保证金

Ⅺ. Security deposit

商家同意按本协议及本协议附件苏宁易购招商标准的要求向苏宁易购交纳商家保证金（以下简称“保证金”或“商家保证金”，单位：美元）。

The Merchant agrees to pay the merchant security deposit (hereinafter referred to as “Security deposit” or “Merchant Security Deposit”, Unit: US dollar) to Suning E-Commerce according to the appendix of the Agreement: The Requirements of the Merchant Standards of Suning E-Commerce.

保证金的额度：

(Ⅰ) The amount of security deposit

商家的具体应缴保证金数额根据苏宁易购招商标准及商家的具体情况由苏宁易购确定。苏宁易购有权根据商家之业务变化及实际违约赔付情况通知商家调整保证金金额，商家应在收到苏宁易购通知后的十（10）日内向苏宁易购补足保证金，否则，苏宁易购有权中止或解除本协议。

The amount of security deposit that shall be paid by the Merchant shall be determined by Suning E-Commerce according to Suning E-Commerce Merchant Standards and the specific circumstance of the Merchant. Suning E-Commerce shall have the right to notify the Merchant of adjusting the amount of security deposit according to the business change of the Merchant and the actual default compensation. The Merchant shall replenish the security deposit to Suning E-Commerce within ten (10) days after receiving the notice of Suning E-Commerce; otherwise Suning E-Commerce shall have the right to suspend or terminate the Agreement.

（二）保证金及其管理：

(Ⅱ) Security deposit and its management

1、保证金：

Security deposit

商家签署（书面签署或在线点击接受）本协议并经审查确认符合申请条件后，应将保证金支付至苏宁易购指定银行账户，银行手续费由商家承担。在任何情况下，苏宁易购均无须就商家保证金向商家支付任何形式的利息、孳息或其他款项。

After the Merchant signs (by writing or by online clicking for acceptance) the Agreement and Suning E-Commerce confirms that the Merchants meets the applying conditions through investigation, the Merchant shall pay the security deposit to the bank account designated by Suning E-commerce and the banking charges shall be borne by the Merchant. Under no circumstance shall Suning E-Commerce pay any interest, fructus or any other payment to the Merchant for the Merchant Security Deposit.

2、保证金的管理、使用以及退还：

The management, utilization and refunding of security deposit:

苏宁易购有权按以下方式使用保证金：

Suning E-Commerce shall have the right to use the security deposit in the following ways:

（1）商家与苏宁易购终止协议后，经苏宁易购初步查验，未发现商家在合作期限内有未处理完毕的经营纠纷、诉讼、政府查处等事项，且商家不存在与苏宁易购（或苏宁易购关联公司）的合作纠纷的，则自苏宁易购初步查验完毕后（具体以苏宁易购通知为准）进入3个月观察期，若在观察期内未发现新的涉及商家的未决纠纷、诉讼或查处事项的，自观察期限届满后的约四十（40）个工作日内由苏宁易购退还剩余保证金至商家原支付账户；但本协议另有规定的除外。商家与苏宁易购终止协议后，经苏宁易购查验发现商家在合作期限内有未处理完毕的经营纠纷、诉讼、政府查处等事项的，或者商家存在与苏宁易购（或苏宁易购关联公司）的合作纠纷的，则自该等纠纷处理完毕后进入3个月观察期，若在观察期内未发现新的涉及商家的未决纠纷、诉讼或查处事项的，自观察期限届满后的约四十（40）个工作日由苏宁易购退还剩余保证金至商家原支付账户；但本协议另有规定的除外。

(1) After the Merchant and Suning E-Commerce terminate the Agreement, if the Merchant doesn’t have any pending operation dispute, litigation, governmental investigation and punishment, etc. during cooperation according to preliminary investigation conducted by Suning E-commerce, and if there is no cooperation dispute between the Merchant and Suning E-Commerce (or its affiliates), then the three-month observation period shall begin after Suning E-Commerce completes the preliminary investigation (subject to the notice of Suning E-Commerce). If Suning E-Commerce fails to find any new pending dispute or any punishment in the observation period, then Suning E-Commerce shall refund the Merchant Security Deposit within around forty (40) workdays from the expiry of the observation period, unless otherwise agreed in the Agreement. After the Merchant and Suning E-Commerce terminate the Agreement, if the Merchant has any pending operation dispute, litigation, governmental investigation and punishment, etc. during cooperation according to preliminary investigation conducted by Suning E-commerce, or if there is cooperation dispute between the Merchant and Suning E-Commerce (or its affiliates), then the three-month observation period shall begin after the disputes are resolved. If Suning E-Commerce fails to find any new pending dispute or any punishment in the observation period, then Suning E-Commerce shall refund the Merchant Security Deposit within around forty (40) workdays from the expiry of the observation period, unless otherwise agreed in the Agreement.

（2）保证金将由苏宁易购退还至商家签署本协议时支付保证金的同一银行账户，非因苏宁易购原因导致无法退还保证金或结算货款的（包括但不限于商家经营主体和/或上述银行账户灭失），视为商家自愿放弃上述保证金或结算货款，苏宁易购有权拒绝退还或支付相应款项，一切责任由商家自行承担。

The deposit shall be refunded by Suning.com to the same bank account which is used by the Merchant to pay the deposit upon signing of this Agreement. Where the deposit cannot be refunded or the payment for goods cannot be made not because of Suning.com (including, but not limited to the loss of the business entity and/or the above-mentioned bank account), the Merchant shall be deemed to be a voluntary waiver of above-mentioned deposit or payment for goods, Suning.com shall have the right to decline the refund or payment, and the Merchant shall solely assume all liabilities.

（3）苏宁易购可在以下情况发生时，处置保证金：

（3）Suning E-Commerce shall have the right to dispose of the security deposit under any of the following circumstances:

A. 在苏宁国际进行的交易中，如商家涉嫌违反相关国家法律、法规、政策、苏宁国际规则或违反其对买家的承诺时，商家同意苏宁易购有完全的权利根据苏宁易购的判断，直接使用保证金对买家进行赔付。
A.If the Merchant is suspected of violating relevant national laws, regulations, policies or Suning International Rules or violating its undertakingsto the Buyer during the transactions at Suning International, then the Merchant shall fully authorize Suning E-Commerce to, at its own discretion, directly use the security deposit to compensate for the Buyer.
B. 商家违反苏宁国际规则，且根据苏宁国际规则，商家应当向苏宁易购和/或消费者支付违约金、赔偿金的，商家同意苏宁易购有权直接划扣使用商家保证金。
B.If the Merchant violates Suning International Rules, and the Merchant shall pay breach penalty or compensation to Suning E-Commerce and/or the consumer according to Suning International Rules, then the Merchant shall allow Suning E-Commerce to directly transfer, deduct and use the Merchant Security D
C.如商家未按照相关国家法律规定、本协议规定或苏宁国际规则向买家履行相关义务，则苏宁易购有权依其独立判断，直接使用保证金向买家退款或支付违约金（或赔偿金）。
C.If the Merchant fails to fulfill its obligations to the Buyer according to relevant national laws, the Agreement or Suning International Rules, then Suning E-Commerce shall have the right, at its own discretion, to directly use the security deposit to refund payments or pay breach penalty (or compensation) to the Buyer.
如商家违反本协议和/或苏宁国际规则，给苏宁易购造成任何损失（包括但不限于诉讼赔偿、诉讼费用、律师费用等），应向苏宁易购支付违约金（罚金）的，或商家对苏宁易购存在逾期未付款项的（包括但不限于对苏宁易购有逾期未付费用，无论是否基于本协议），则苏宁易购有权直接从保证金中扣除相当于苏宁易购损失的金额或违约金（罚金）或逾期未付款项，保证金不足以赔偿的，苏宁易购可继续向商家追偿；在损失金额不明确之前，苏宁易购有权无限期持有该保证金，直至损失金额明确后予以结算。
D.If the Merchant brings any loss (including but not limited to litigation compensation, litigation cost, lawyer fee, etc.) to Suning E-Commerce by violating the Agreement and/or Suning International Rules, then the Merchant shall pay breach penalty (fines) to Suning E-Commerce, or if the Merchant has any overdue outstanding sum (including but not limited to having any overdue outstanding fee to Suning E-Commerce, no matter whether based on the Agreement), then Suning E-Commerce shall have the right to directly deduct a sum or breach penalty (fines) equivalent to the loss incurred by Suning E-Commerce or any overdue/outstanding sum from the security deposit. If there isn’t enough security deposit to offset the compensation, Suning E-Commerce can continue to claim compensation from the Merchant. Before the amount of loss is determined, Suning E-Commerce shall have the right to hold the security deposit continuously until the amount of loss is determinedfor settlement.
E. 如商家违反其与苏宁易购任何关联公司（以下统称“关联公司”）之间的协议约定，且给前述主体造成经济损失的，商家不可撤销地授权苏宁易购可以基于苏宁易购关联公司的要求将相应的保证金金额全部或部分交付至关联公司的账户。苏宁易购和关联公司无需为此提前通知商家或承担任何责任。
E.If the Merchant violates the Agreement between the Merchant and any affiliates of Suning E-Commerce (hereinafter referred to as “the affiliates”) and brings any economic loss to the above-mentioned entity, then the Merchant shall irrevocably authorize Suning E-Commerce to wholly or partially pay the corresponding security deposit amount to the account of the affiliates as required bythe affiliates of Suning E-Commerce. Suning E-Commerce and the affiliates needn’t notify the Merchant or assume any liability for this.
如商家关联公司在苏宁国际开设的店铺存在违反“正品保障”义务，销售假冒伪劣商品等重大违约情形，苏宁易购有权要求商家与其关联公司承担连带责任，并有权根据苏宁国际规则直接扣除相应金额的保证金。

Where any store(s) opened by the Merchant’s affiliated company at g.suning.com severely breaches the Agreement, including breaching the “Genuine Product Guarantee” obligation, or selling fake and shoddy goods, etc., Suning.com shall have the right to require the Merchant and its affiliated company to undertake joint liabilities, and shall have the right to directly deduct a corresponding amount of deposit according to the terms of g.suning.com. Where any other store(s) opened by the Merchant’s affiliated company at g.suning.com severely breaches the Agreement, such as selling fake and shoddy goods, etc., the Merchant and its affiliated company shall be committed to undertaking joint liabilities.

商家保证金被依据法律或苏宁国际规则扣除或部分扣除，商家应在10日内补足，逾期未补足的，苏宁易购有权通知易付宝公司自商家易付宝余额中划扣相应的金额至苏宁易购账户以补足保证金，易付宝余额不足以补足保证金或者划扣失败的，苏宁易购有权立即中止或解除本协议，并全额扣除剩余保证金。
G.Where the Merchant Security Deposit is confiscated in part or entirety in accordance with law or Suning International Rules, the Merchant shall replenish the Merchant Security Deposit within 10 days, failing which Suning E-commerce may instruct Yifubao Company to transfer a corresponding sum from the Yifubao balance of the Merchant to the account of Suning E-Commerce to replenish the security deposit. Where the Yifubao balance is insufficient or the transfer fails, Suning E-commerce may immediately suspend or rescind the Agreement and confiscate the remaining security deposit in entirety.

3、如保证金不足赔付时，商家应自行支付额外的赔付金额，如因商家的原因导致苏宁易购向买家或第三方支付了超出保证金数额的款项，或使苏宁易购遭受的损失高于可支配的保证金余额，则苏宁易购有权采取下述全部或任一措施：

If there isn’t enough security deposit for the compensation, the Merchant shall pay the extra amount of compensation on its own. If Suning E-Commerce pays a sum exceeding the amount of security deposit to the Buyer or a third party for the Merchant’s reason, or Suning E-Commerce incurs a loss higher than the balance of disposable security deposit for the Merchant’s reason, then Suning E-Commerce shall have the right to take all or any of the following measures:

（1）要求商家偿付苏宁易购的损失，且在指定时间内补足保证金；

(1) Demand the Merchant to compensate for the loss of Suning E-Commerce, and replenish the security deposit within a specified period;

（2）要求易付宝公司将商家易付宝账户下的款项直接支付给苏宁易购，以补偿苏宁易购所遭受的损失；

(2) Demand Yifubao Company to directly pay the sum under the Yifubao account of the Merchant to Suning E-Commerce, so as to compensate for the loss incurred by Suning E-Commerce;

如苏宁易购的损失通过上述二种方式仍无法弥补，则苏宁易购有权单方面解除本协议。同时苏宁易购保留通过法律途径向商家追偿的权利。

If the loss of Suning E-Commerce still cannot be recovered in the above-mentioned two ways, then Suning E-Commerce shall have the right to unilaterally terminate the Agreement, and reserve the right to claim compensation from the Merchant through legal means.

十二、协议的终止

Ⅻ. The termination of the Agreement

（一）本协议到期终止或商家在线接受的《易付宝服务协议》因任何原因终止，则本协议将同时终止。

(Ⅰ) If the Agreement expires or if the Yifubao Service Agreement accepted online by the Merchant is terminated for any reason, then the Agreement shall be terminated at the same time.

（二）通知解除：协议任何一方均可以提前三十（30）天书面通知的方式解除本协议；

(Ⅱ) Rescission by notice: Either party to the Agreement can rescind the Agreement by sending a written notice thirty (30) days in advance;

商家应通过如下方式通知解除本协议：商家通过在线点击“确认退出”按钮申请终止本协议，随后系统会使商家店铺进入“监管”状态，十五天（15）后商家店铺正式进入退出流程（“退出流程”），在退出流程发起后三十天（30）天内可以且仅可以处理交易纠纷以及与苏宁易购（或苏宁易购关联公司）之间的账务、发票结算事宜。

The Merchant shall send a notice to terminate the Agreement in the following way: The Merchant applies for terminating the Agreement by clicking the button of “Confirm Exit” online. After that, the system will place the Merchant Store in the state of “being supervised”. Fifteen (15) days later, the Merchant Store will officially enter exit process (“exit process”). Within thirty (30) days after the start of exit process, only transaction disputes and the account and invoice settlements with Suning E-Commerce (or its affiliates) can be handled.

（三）苏宁易购单方解除权：

(Ⅲ) The unilateral rescinding right of Suning E-Commerce:

1、如商家违反苏宁国际规则或本协议中的任何承诺或保证，包括但不限于本协议项下的任何约定，苏宁易购都有权解除本协议，且按有关规则对商家进行处罚。如商家涉嫌销售侵犯他人知识产权或合法权益的商品，或第三方多次投诉其商品质量或服务质量，则苏宁易购有权中止或解除本协议，且有权没收商家保证金，作为商家的违约金。

If the Merchant violates any of its undertakings or warrantiesin Suning International Rules or the Agreement, including not limited to any arrangement under the Agreement, then Suning E-Commerce shall have the right to rescind the Agreement, and imposepunishment over the Merchant according to relevant rules. If the Merchant is suspected of selling commodities which infringe upon others’ intellectual property right or other lawful right or interest, or third parties frequently complain about its commodity or service quality, then Suning E-Commerce shall have the right to suspend or rescind the Agreement and have the right to confiscate the Merchant Security Deposit as the breach penalty payable by the Merchant.

2、如商家在苏宁国际平台开设多家店铺，其中任一或多家店铺存在苏宁国际规则中所列明的严重违规行为的，则苏宁易购有权解除本协议及与商家针对其他店铺签订的所有服务协议，并按有关规则对商家进行处罚，且有权清退商家在苏宁国际开设的所有店铺。

Where the Merchant opens several stores at g.suning.com and any of them breaches the terms of g.suning.com, Suning.com shall have the right to terminate this Agreement and all the service agreements signed with the Merchant relating to the other stores, punish the Merchant according to relevant terms and clear all the stores opened by the Merchant at g.suning.com.

3、商家在超过30天的时间内未以苏宁国际账户及密码登录苏宁国际平台的，苏宁易购有权解除本协议。

If the Merchant fails to log onto the Suning International Platform via the account and password of Suning International within 30 days, then Suning E-Commerce shall have the right to rescind the Agreement.

4、如非因苏宁易购的原因，商家未能按本协议及附件之规定，按期全额支付有关费用，且在苏宁易购规定的时限内仍未支付，苏宁易购有权部分或全部中止或解除本协议。

If the Merchant fails to pay relevant fees on time and in full according to the provisions of the Agreement and its appendixes for a reason not attributed to Suning E-Commerce, and still fails to make the payment within a period specified by Suning E-Commerce, then Suning E-Commerce shall have the right to partially or wholly suspend or rescind the Agreement.

5、因国家法律法规及政策变化，导致本协议无法继续履行的，苏宁易购有权解除本协议。

In the eventchanges of the laws and policies render it impossible to perform the Agreement, then Suning E-Commerce shall have the right to suspend or rescind the Agreement.

（四）本协议规定的协议终止条件发生或实现，导致本协议终止。

(Ⅳ) The terminating conditions of the Agreement set forth in the Agreement occur or come true, resulting in the termination of the Agreement.

（五）协议终止后有关事项的处理：

(Ⅴ) The settlement of relevant matters after the Agreement is terminated;

1、协议终止后，除中国法律另有规定外，苏宁易购没有义务为商家保留苏宁国际账户中或与之相关的任何信息，或转发任何未曾阅读或发送的信息给商家或第三方，亦不就终止协议而对商家或任何第三者承担任何责任。

After the Agreement is terminated, Suning E-Commerce shall be not obliged to reserve any information in or related to Suning International Account for the Merchant, or forward any unread or un-transmitted information to the Merchant or third parties, and shall not assume any liability to the Merchant or any third party for the termination of the Agreement, unless otherwise provided by Chinese law.

2、无论本协议因何原因终止，在协议终止前的行为所导致的任何赔偿和责任，商家必须完全且独立地承担。

No matter for which reason the Agreement is terminated, the Merchant must fully and solely assume any compensation and liability resulting from any behavior which occurs before the Agreement is terminated.

3、本协议终止后，苏宁易购有权保留该商家的注册数据及以前的交易行为记录及商家申请入驻时提供的文件资料。如商家在本协议终止前在苏宁易购网络交易苏宁国际上存在违法行为或违反本协议的行为，苏宁易购仍可行使本协议所规定的权利。

After the Agreement is terminated, Suning E-Commerce shall have the right to reserve the registration data and previous transaction behavior records of the Merchant and the documents and data submitted by the Merchant at the time of application for settlement. If the Merchant has any illegal behavior or any behavior of violating the Agreement on the Online Transaction Suning International of Suning E-Commerce before the Agreement is terminated, then Suning E-Commerce can still exercise its rights set forth in the Agreement.

4、除通知解除、法律法规政策变化解除及苏宁易购违约导致合同终止、解除外，商家缴纳的苏宁国际平台使用费在合同解除（终止）后将不予退还。通知解除、法律法规政策变化解除或苏宁易购违约导致合同解除的，苏宁易购将按照合同期限退还剩余期限所对应的苏宁国际平台使用费。

Unless the Agreement is terminated/rescinded due to changes of the laws and policies，the rescission by notice and the default of Suning E-Commerce, the access fee of Suning International Platform paid by the Merchant shall not be refunded after the Agreement is terminated (rescinded). If the Agreement is terminated/rescinded due to the rescission by notice and the default of Suning E-Commerce, then Suning E-Commerce shall refund the part of the access fee of Suning International Platform corresponding to the remaining period according to the agreement term.

5、商家退出流程发起但未结束之前：

The exit process of the Merchant have been started but have not yet been completed:

（1）商家已经上传至苏宁易购网站的商品信息尚未达成交易协议的，苏宁易购有权在本协议终止时同时删除此项商品的相关信息；

（1）If the Merchant has already uploaded the information of any commodity to the website of Suning E-Commerce but no transaction agreement has yet been reached, then Suning E-Commerce shall have the right to cancel the commodity information when the Agreement is terminated;

（2）商家已经与另一用户就某商品达成交易协议的，苏宁易购可以不删除该项交易，但苏宁易购有权在本协议终止前将本协议终止的情况通知该交易中的买方。

（2）If the Merchant has already reached a transaction agreement with another user on a commodity, then Suning E-Commerce may not cancel the transaction, but Suning E-Commerce shall have the right to notify the Buyer in the transaction of the termination of the Agreement before the Agreement is terminated.

（六）因为本协议规定的各项原因导致苏宁易购决定解除本协议，商家店铺在苏宁易购作出解除本协议决定时立即进入退出流程，商家在进入退出流程三十天（30）内可以且仅可以处理交易纠纷以及与苏宁易购（或苏宁易购关联公司）之间的账务、发票结算事宜，不得利用店铺在线上或线下开展任何其他经营活动。

(Ⅵ) If Suning E-Commerce decides to rescind the Agreement for any reason set forth in the Agreement, then the Merchant Store shall immediately enter the exit process after Suning E-Commerce makes the decision to rescind the Agreement, the Merchant can and only can handle transaction disputes and account and invoice settlements with Suning E-Commerce (or its affiliates) within thirty (30) days after entering the exit process, and shall not use the store to carry out any other operating activity online or offline.

（七）商家同意，本协议终止30天后，苏宁易购根据结算情况将商家易付宝账户余额（如有）支付给商家；如商家店铺经营过程中涉及商家违约、消费者纠纷、政府处罚等事项的，对于商家应承担的款项，苏宁易购有权直接从结算款中扣除。

(Ⅶ) The Merchant agrees that Suning E-Commerce will pay the balance of the Yifubao account of the Merchant (if any) to the Merchant according to the settlement result 30 days after the Agreement is terminated. If any merchant default, consumer dispute, government punishment, etc. is involved in the operation process of Merchant Store, Suning E-Commerce shall have the right to directly deduct the sum that should be paid by the Merchant from the settlement fund.

十三、协议期限

ⅩⅢ. Agreement period

本协议在符合约定的条件时即告生效，本协议有效期以本协议附件《苏宁国际服务条款》约定为准，但双方另有约定的除外。

The Agreement shall immediately become effective when agreed conditions are met. The valid period of the Agreement shall be that agreed upon in the appendix of the Agreement (Suning International Service Terms), unless otherwise agreed upon between both parties.

本协议约定的合作期限期满，甲乙双方如有意继续合作，在合作期限届满前一个月双方开始协商订立新的协议。如本协议已到期，但新的协议尚未订立或生效，为确保双方合作的延续性，本协议有效期自然顺延至新协议订立且生效之日，最长不得超过三个月（如最终没有订立新协议，则双方合作至三个月顺延期届满时止，该三个月顺延期内的合作条款按照苏宁易购公布的新的协议条款和收费标准执行）；如双方在三个月顺延期限内订立了新的协议，双方按照新订立的协议进行合作，新协议的效力追溯至顺延期开始后的合作（追溯期内的收费按照多退少补的原则处理）。

If both parties intend to continue to cooperate with each other, then both parties shall begin to conclude a new agreement through mutual consultation one month before the cooperation period expires. If the Agreement has already expired but a new agreement has not yet been concluded or taken effect, then the valid period of the Agreement shall be naturally extended to the day when a new agreement is concluded and takes effect, so as to ensure the continuance of the cooperation between both parties, but the extended period shall be no more than three months in any case (If the new agreement is not concluded eventually, then the cooperation between both parties shall last until the day when the 3-month extended period expires. The cooperation terms in the 3-month extended period shall the new agreement terms and charging standards publicized by Suning E-Commerce). If both parties sign a new agreement in the 3-month extended period, then both parties shall cooperate with each other according to the newly concluded agreement. The validity of the new agreement shall be traced back to the cooperation after the extended period begins (the charges in the tracing period shall be treated on the principle of “a refund for any overpayment or a supplemental payment for any deficiency”).

十四、有效通知

ⅩⅣ. Valid notification

本协议下所规定的商家对苏宁易购的通知应以书面形式邮寄至以下地址并将扫描件发送至 13061231@suning.com。苏宁易购同时收到书面文件及电子邮件的，方视作苏宁易购收悉商家的通知。

The notices of the Merchant to Suning E-Commerce under the Agreement shall be delivered to the following mail addresses in writing and the scanned copies shall be sent to 13061231@suning.com. The Merchant’s notice is only deemed to be received by Suning E-commerce when Suning E-commerce receives both such written documents and email.

苏宁易购可通过电子邮件向商家在苏宁易购注册时提供的电子邮件地址发出通知。通知的送达以邮件发出为准。

Suning E-Commerce: Suning International, No.1, Suning Avenue, Xuzhuang Software Park, Xuanwu District, Nanjing 210042, Jiangsu Province

Suning E-Commerce can email the notice to the email address provided by the Merchant at the time of registration at Suning E-Commerce. The service of the notice shall be based on the dispatching of the email.

十五、保密条款

ⅩⅤ. Confidentiality

（一）在签订和履行本协议过程中，一方应对其获知的对方商业秘密、非公开信息等秘密信息，予以严格保密，未经秘密信息提供方同意，均不得（也不得允许其高级管理人员、雇员、代理人、顾问或承包商）将该信息向任何第三方披露、传播、编辑或展示（但向对其披露信息是本协议所允许的、且为适当履行其职责需要信息的一方的高级管理人员、雇员或其他人披露信息除外）。

(Ⅰ) While signing and performing the Agreement, either party shall treat any confidential information it has obtained from the other party as strictly confidential, including the business secret and non-public information of the other party. Without the permission of the providing party of confidential information, this party shall not (and shall not allow its senior managers, employees, agents, consultants or contractors to) divulge the information to any third party or disseminate, edit or display the information (unless the party divulges the information to its officers, employees or other people according to the Agreement and for the purpose of properly fulfilling its duties).

(二)因秘密信息提供方书面同意或因中国行政、司法强制行为而披露秘密信息，披露方不承担责任；原秘密信息已为公众所知悉的，披露方不承担责任。

(Ⅱ) If the confidential information is divulged due to the written permission of the confidential information providing party or the compulsory behavior of Chinese administrative or judiciary organs, then the divulging party shall not assume any liability. If the confidential information is already known by the public, the divulging party shall not assume any liability, either.

十六、阳光条款

ⅩⅥ. Integrity terms

商家不得通过不正当手段（包括但不限于向苏宁易购及其关联公司的工作人员及/或其关联人士提供财物、消费、款待或商业机会等）谋取利益。如有违反，无论商家是否实际获得利益，苏宁易购均有权立即终止向商家名下部分或所有商家店铺提供服务。同时，苏宁易购有权根据商家意图谋取利益的价值或为谋取利益所提供的财物等的价值的两倍要求商家支付违约金（最低壹拾万元），商家拒绝支付的，苏宁易购有权直接从商家易付宝余额或保证金中扣除。违约金不足以弥补苏宁易购损失的，商家应予以补足，商家涉嫌犯罪的，苏宁易购有权依法向司法机关检举。

The Merchant shall not seek for profit and interest through improper measures (including but not limited to providing property, consumption, entertainment or business opportunities, etc. to the staff and/or relevant persons of Suning E-Commerce and its affiliates). In case of any violation, no matter whether the merchant has profited or not, Suning E-Commerce shall have the right to immediately terminate its services to the Merchant or all Merchant stores. In addition, Suning E-Commerce shall have the right to demand the Merchant to pay a breach penalty equivalent to twice of the value that the Merchant intends to seek or the value of property（Not less than 100000 RMB）, etc. provided by the Merchant for seeking interest or profit. If the Merchant refuses to pay the breach penalty, then Suning E-Commerce shall have the right to directly deduct it from the Yifubao balance or security deposit of the Merchant. If the breach penalty is not enough to recover the loss of Suning E-Commerce, the Merchant shall replenish it. If the Merchant is suspected of a crime, Suning E-Commerce shall have the right to report to the judiciary organ according to law.

If the business found suning and its affiliated company staff to the business and its representatives for personal gain, the business should immediately report to suning . 十七、苏宁国际的法律地位

ⅩⅦ. The legal status of Suning International

苏宁国际仅作为苏宁国际使用方物色交易对象，就货物和服务的交易进行协商，以及获取各类与交易相关信息和服务的苏宁国际。本协议的生效并不意味着苏宁易购成为商家在苏宁国际上与第三方所进行交易的参与者；对商家在苏宁国际上的交易，苏宁易购仅提供技术服务，不对商家行为的合法性、有效性及商品的真实性、合法性和有效性作任何明示或暗示的担保。商家因进行交易、获取有偿服务或接触苏宁易购网站服务器而发生的所有应纳税赋，均由商家自行负责支付。

Suning International can only serve as a platform for its users to choose transaction counterparties, negotiate on the transaction of goods and services and obtain various types of transaction-related information and service. The effectiveness of the Agreement does not mean that Suning E-Commerce has become a participant of the transactions between the Merchant and third parties on Suning International. For transactions of the Merchant on Suning International, Suning E-Commerce only offers technical service, and will not make any explicit or implicit guarantee on the lawfulness and validity of Merchant behaviors and the authenticity, lawfulness and validity of commodities. The Merchant shall solely pay all payable taxes arising from conducting transactions, receiving paid service or accessing the website server of Suning E-Commerce.

十八、有限责任

ⅩⅧ. Limited liability

（一）苏宁国际服务将按“现状”和按“可得到”的状态提供。苏宁易购在此明确声明对苏宁国际服务不作任何明示或暗示的保证，包括但不限于对服务的可适用性，没有错误或疏漏、持续性、准确性、可靠性、适用于某一特定用途之类的保证、声明或承诺。

(Ⅰ) Suning International Service shall be provided in the state of “as is” and “as available”. Suning E-Commerce hereby explicitly declares that Suning E-Commerce will not make any explicit or implicit guarantee on its Suning International Service, including but not limited to guarantee, representation or undertaking on the adaptability, absence of error or omission, sustainability, accuracy and reliability of service, or suitability for a specific purpose.

对苏宁国际服务所涉的技术和信息的有效性、准确性、正确性、可靠性、质量、稳定、完整和及时性，苏宁易购均不作承诺和保证。

Suning E-Commerce will make no undertaking or guarantee on the validity, accuracy, correctness, reliability, quality, stability, integrity and timeliness of any technology and information covered by Suning International Service.

（二）使用苏宁国际服务下载或者获取任何资料的行为均出于商家的独立判断并自行承担风险。每一个商家独自承担因此对其电脑系统或资料灭失造成的损失。

(Ⅱ) The behavior of downloading or obtaining any data through Suning International Service shall be based on the Merchant’s independent judgment and the risks shall be solely borne by the Merchant. The Merchant shall solely bear any consequence thus arising from the loss of its computer system or data.

（三）不论在何种情况下，苏宁易购均不对由于互联网连接故障、电脑、通讯或其他系统的故障、电力故障、罢工、劳动争议、暴乱、起义、骚乱、生产力或生产资料不足、火灾、洪水、风暴、爆炸、不可抗力、战争、政府行为、国际国内法院的命令或第三方的不作为而造成的不能服务或延迟服务承担责任。

(Ⅲ) Under no circumstance shall Suning E-Commerce assume any liability for service failure or delay caused by Internet connection breakdown, computer, telecommunication or other system breakdown, power breakdown, strike, labor dispute, riot, uprising, rebellion, shortage of productive force or means, fire, flood, storm, explosion, force majeure, war, government act, order of an international or domestic court or third-party inaction.

十九、违约责任

ⅩⅨ. Default liability

（一）商家同意赔偿由于使用苏宁国际服务（包括但不限于将商家资料展示在网站上）或违反本协议而给苏宁易购造成的任何损失（包括但不限于由此产生的全部诉讼费用和律师费）。商家同意苏宁易购不对任何商家张贴的资料，包括诽谤性的、攻击性的或非法的资料承担任何责任；由于此类材料对其它主体造成的损失由商家自行承担全部责任。若商家关联公司在苏宁国际所开设的其他店铺存在销售假冒伪劣商品等重大违约情形，商家承诺与其关联公司承担连带责任。

(Ⅰ) The Merchant agrees to compensate for any loss (including but not limited to full litigation fee or lawyer fee thus caused) brought by the Merchant to Suning E-Commerce by using Suning International Service (including but not limited to displaying Merchant data on the website) or violating the Agreement. The Merchant agrees that Suning E-Commerce shall not assume any liability for the data posted by the Merchant, including slanderous, aggressive or illegal data. The Merchant shall solely assume all liabilities for losses brought by these data to other entities.

（二）商家承诺，不会采取任何手段或措施，包括但不限于明示或暗示买家或通过其他方式，转移商家本可以通过苏宁国际在线达成的交易或达成交易后不经由易付宝服务收取交易金额，以规避向苏宁易购或其关联公司支付相关费用；否则，将视为商家严重违约，苏宁易购有权解除本协议，并有权将商家保证金作为违约金予以没收。

(Ⅱ) The Merchant undertakes that the Merchant will not adopt any means or measures, including but not limited to explicitly or implicitly instructing the Buyer or adopting any other means, to circumvent Suning International in transactions which the Merchant could have concluded online via Suning International or collect any transaction price through any other means than Yifubao Service, so as to avoid paying relevant fees to Suning E-Commerce or its affiliates; otherwise, the Merchant shall be regarded as having seriously breached the Agreement, and Suning E-Commerce shall have the right to rescind the Agreement and have the right to confiscate the security deposit of the Merchant as a breach penalty.

二十、争议解决及其他

ⅩⅩ. Dispute settlement and others

（一）本协议之解释与适用，与本协议有关的争议，以及商家与消费者之间的纠纷，均应依照中华人民共和国法律予以处理。因本协议引起或与之有关的任何争议、分歧或权利主张，包括但不限于其存在、效力、履行或终止，无论在其有效期内或之后发生，应提交苏宁易购所在地相应级别的人民法院依法裁决。

(Ⅰ) Chinese law applies to the interpretation and application of the Agreement and the resolution of disputes related to the Agreement and disputes between the Merchant and the consumers. All disputes, disagreements or claims arising from or related to the Agreement, including but not limited to its existence, validity, performance or termination, no matter whether they occur in or after its valid period , shall be submitted to the people’s court of corresponding level at the place of Suning E-Commerce for judgment by law.

（二）如本协议的任何条款被视作无效或无法执行，则上述条款可被分离，其余部分仍具有法律效力。

(Ⅱ) If any clause of the Agreement is regarded as invalid or unenforceable, then this clause can be isolated and the other clauses shall still have their legal effect.

（三）苏宁易购于商家过失或违约时放弃本协议规定的权利的，不得视为苏宁易购对商家的其他或以后同类之过失或违约行为弃权。

(Ⅲ) If Suning E-Commerce waives its rights under the Agreement when the Merchant commits any error or violates the Agreement, this shall not be regarded as Suning E-Commerce’s waiver of its right for the Merchant’s other or subsequent similar errors or violations.

（四）本协议以中文及英文书写，如有不一致之处，以中文版本为准。

(Ⅳ) The Agreement shall be written in Chinese and English. In case of any discrepancy, the Chinese version shall prevail.

协议附件是本协议的组成部分，与本协议条款具同等法律效力，本协议正文另有约定的除外。

The appendixes of the Agreement are an integral part of the Agreement and shall have the same legal effect as the Agreement, unless otherwise agreed in the main body of the Agreement.
